We're looking for a Commercial Legal Apprentice to join our Legal team for a 6-month apprenticeship.  This role supports HighLevel’s Legal Team across two core areas: go-to-market contract management (affiliate, sponsorship, event, and speaker agreements) and vendor contract review (MSAs, Order Forms, SOWs, NDAs, and Amendments). It is a hands-on, learning-intensive position designed for candidates with a genuine interest in contract law, technology transactions, and legal operations.

Please note that you may be required to accommodate the schedules of cross-functional teams and external stakeholders across IST, EST, PST, and CDT time zones.

The Commercial Apprentice will support the Legal Team across contract management, compliance, legal operations, and cross-functional collaboration, spanning both go-to-market and vendor agreements. Key responsibilities include:

• Assist with drafting, reviewing, and updating agreements, including affiliate agreements, service contracts, supplier agreements, sponsorship agreements, event contracts, speaker agreements, NDAs, MSAs, Order Forms, SOWs, and Amendments, ensuring alignment with HighLevel's legal and business requirements.

• Identify key commercial and legal terms, flag deviations from HighLevel's standard positions, and escalate questions or non-standard provisions to senior team members using approved playbooks, toolkits, and fallback positions.

• Assist with reviewing counterparty redlines on draft agreements, prepare comparison summaries highlighting material changes, and assist in preparing internal briefing notes on negotiation points, risk implications, and recommended responses.

• Track and compare contract terms and proposed deviations against approved templates, playbooks, and fallback positions. Maintain a working understanding of MSA structures and how child documents (Order Forms, SOWs, Amendments) interact with the parent agreement.

• Coordinate with internal stakeholders across Affiliate, Events, Marketing, Procurement, Finance, IT, and Security teams to gather context, confirm requirements, communicate contract status and timelines, and support the legal team in aligning legal input with broader business objectives.

• Conduct legal research on relevant regulations, contract laws, and industry standards under the direction of the Legal team. Review speaker presentations and promotional content for compliance with applicable law, including FTC guidelines on endorsements and testimonials.

• Maintain contract trackers, logs, filing systems, and CLM platforms (including Ironclad). Track deadlines, renewal dates, and milestones across active contracts and prepare regular status reports.

• Support with contract due diligence by reviewing contact terms and supporting documentation against established checklists and guidelines, verifying counterparty information, and escalating gaps or potential risk areas for review. Build and update quick-reference guides, checklists, clause libraries, and review playbooks.

• Partner with the legal team on compliance-related research and reviews across all contract types, and assist with ad hoc legal operations projects and process improvement initiatives as needed.

To succeed in this role, you must meet the following qualifications:

• Recent Bachelor’s degree in Law, or currently pursuing a law degree from an accredited law school.

• Strong academic record and genuine interest in corporate, contract, or commercial law.

• Strong attention to detail and accuracy.

• Excellent written and verbal communication skills, with the ability to articulate complex legal concepts clearly.

• Ability to read dense documents carefully and flag inconsistencies, gaps, or risks.

• Strong analytical, organizational, and follow-up skills; ability to manage multiple contracts at different stages.

• Genuine curiosity and eagerness to learn.

• Ability to handle confidential and sensitive information with discretion.

• Collaborative mindset; comfortable reaching out across teams to gather information and resolve issues.

• Proactive and reliable, with the ability to take ownership of assigned tasks while knowing when to ask questions or seek guidance.

• Comfortable working with Google Workspace, Slack, Microsoft Office, and AI tools (e.g., ChatGPT, Copilot) for research, drafting, and summarization.

• A safe, secure computer system and fast internet connection.

The following qualifications are preferred but not required:

• Coursework, internship, or project experience involving contract review, commercial law, or legal operations.

• Familiarity with SaaS business models or technology transactions.

• Basic proficiency in Google Sheets for tracking and reporting.

• Exposure to contract lifecycle management (CLM) tools, especially Ironclad.

Through this role, you will gain practical exposure to the following:
