About the Role
Dandy is building the operating system for dentists, involving medical devices, ML/AI, sophisticated 3D computer vision, and cutting-edge software. We are seeking a highly organized and business-minded Counsel, Commercial Contracts to focus on drafting, negotiating, and executing a wide variety of deals with a focus on the commercial agreements that drive our rapid global growth. This role is essential for maintaining efficient workflows and ensuring deals are structured for mutual long-term success.
What You'll Do
This role will be an early member of our legal team and serve as a dedicated legal resource focused on transactional efficiency and commercial outcomes:
Contract Drafting & Negotiation: Draft, review, and negotiate a high volume and variety of complex deals and commercial agreements, including Master Service Agreements (MSAs), SaaS Agreements, Statements of Work (SOWs), Strategic Partnership Agreements, Technology Licenses, and Vendor/Supplier Agreements.
Commercial Risk Management: Provide practical, action-oriented legal advice to the Procurement, Technical, Sales, and Business Development teams, guiding them on contract interpretation, commercial terms, and associated business risks.
Process Efficiency: Develop, maintain, and implement standardized contract templates, playbooks, and negotiation guidelines to increase speed and consistency across the commercial function.
Regulatory Integration: Work with other legal stakeholders to ensure that all commercial contracts accurately incorporate necessary regulatory addenda (e.g., Data Processing Agreements, HIPAA Business Associate Agreements) and comply with applicable international regulations (GDPR, CCPA).
Dispute Resolution Support: Provide primary support in resolving contract-based disputes or escalations with customers and partners, interpreting governing legal terms to achieve optimal business resolutions.
Cross-Functional Collaboration: Partner directly with the Procurement, Advanced Manufacturing, and Sales teams to manage the contracting pipeline, accelerate deal closures, and structure agreements that maximize revenue while minimizing exposure.

What We're Looking For
4+ years of experience as a practicing lawyer.
3+ years of experience specializing in commercial contracting and transactional law
Proven ability to work autonomously, manage a large pipeline of agreements, and prioritize deal closure efficiency.
Exceptional skills in simplifying complex legal concepts for non-legal business audiences (Sales, Technical, Finance, etc.).
JD, LLM, or equivalent degree.
Admitted to the bar and in good standing or otherwise authorized to practice law.
Bonus Points For
Project management or experience utilizing Contract Lifecycle Management (CLM) software.
