Qualys is looking for an experienced Senior Manager/Director of Legal Affairs to join the legal team in Pune, India. Reporting directly to the Vice President, Legal, the Senior Manager/Director of Legal Affairs will have a wide scope of responsibilities related to technology transactions, with a focus on commercial deals (inbound and outbound), intellectual property, process management, and other efficiency improvements. This is an outstanding opportunity to work in a small legal department of a fast-growing publicly held company.

Responsibilities:

*Review, draft and negotiate a wide variety of commercial and intellectual property agreements that comply with company policies and risk tolerance in partnership with sales, product and other employees

*Manage and protect Qualys Intellectual Property including global trademarks, patents, and software licensing including use of open-source software, including GPL and LGPL

*Advice and counsel the business teams on the various legal issues and risks, business strategies, approval processes, intellectual property and other issues related to technology transactions

*Provide legal support and guidance for internal functions, including human resources, marketing, sales, operations, security and finance

*Manage the activities of contract administration by obtaining contract signatures and various filings using company systems including Salesforce.com, DocuSign and tools

*Support the continuous improvement of standard form agreements, internal review processes, and other legal policies

*Train employees on legal issues and company policies

*Handle special projects as requested

*Directly supervise attorney/contract manager colleague

*Support corporate development and conduct due diligence for M&A activity

*Manage and advise business on all data privacy/security issues globally (particular emphasis on the European Union) as well as drafting and maintaining the Qualys Privacy Policy

Requirements:

*Education: LLB from a reputed law school.

* Additional certifications in corporate or technology law are a plus.

* 12-15+ years of experience in legal advisory, with significant exposure to corporate, labor, and commercial law.

*Excellent interpersonal skills with partnership mindset, business judgment and strategic thinking

*Experience with procurement as well as advising and structuring complex commercial and other legal issues and arrangements

*Ability to develop and document contracts management processes consistent with corporate policies and procedures

*Ability to efficiently manage a large number of transactions and related matters simultaneously

*Experience with public company compliance matters

*Superior work ethic and able to work efficiently with cross-functional teams and manage multiple projects simultaneously under deadline pressure

*Flexibility and willingness to work on a broad variety of legal matters

*Experience in security or other high technology companies, preference given to prior experience drafting or working on SaaS agreements

*Experience working with public sector customers and/or global customers and transactions a plus

*Hands-on approach with ability to operate independently and with minimum supervision

*Support HR and litigation matters as needed

*Superior communication skills, both verbally and in writing

*Manage outside counsel regarding various matters as required
