About the Role
We are hiring a Sr. Manager, Corporate Development with a private equity, investment banking, or transaction services background to support and lead transaction execution across the deal lifecycle - from valuation and diligence through post-close performance tracking and analysis.
Requirements
Key Responsibilities
- Transaction modeling - build and own valuation models including DCF, comparable company, precedent transactions, and LBO scenarios.
- Pro forma analysis - develop combined-entity P&L, balance sheet, and cashflow projections with appropriate normalization adjustments.
- Financial diligence - manage workstreams, coordinate with external advisors, and synthesize findings into actionable insights
- Pro forma modeling and QoE bridging - partner with the rest of the FP&A team on combined-entity P&L, balance sheet, and cash flow projections.
- Support post-transaction value - capture tracking and performance against plan.
- Between active transaction cycles, support high-impact commercial and strategic finance analysis, including unit economics such as LTV/CAC and payback, retention and churn economics, profitability, and pricing, to inform growth decisions across the business.
- Partner with FP&A and leadership on long-range planning, capital allocation, and the evaluation of organic growth investments, applying the same return-driven rigor used in transactions to internal initiatives.
- Financial due diligence - normalize EBITDA, identify one-time vs. recurring items, analyze working capital, and validate management adjustments.
- Capital structure analysis - model financing scenarios under various deal cases.
- Investment memos - prepare materials for senior leadership review on strategic opportunities.
- Post-close support - partner with the full FP&A team on integration performance tracking and reporting.
- Financing & stakeholder reporting - support reporting requirement as needed.
Required Qualifications
- 4–7 years in private equity, investment banking, transaction services, or corporate development at a sponsor-backed company.
- Demonstrated experience with complex transaction modeling and financial diligence.
- Advanced Excel modeling: three-statement, LBO, accretion/dilution, sources & uses.
- Thrives in a role with variable intensity; energized by deep analytical work between deals, not only by live transactions.
- A self-starting mindset with a natural curiosity to identify areas for improvement and the drive to act on them immediately.
- Strong quantitative toolkit, including comfort with data analysis and the economics of recurring-revenue businesses.
- Strong grasp of GAAP, adjusted EBITDA methodology, and quality-of-earnings concepts.
- Excellent written communication; able to translate analysis into executive-ready.
- Willingness to work overlapping US Eastern hours during active transaction phases.
- CFA preferred.
Preferred Qualifications
- Exposure to B2B SaaS or data services targets.
- Prior experience supporting US-based sponsors or sponsor-backed corporates.

- Owns financial modeling and diligence workstreams end-to-end on key strategic opportunities.
- Delivers analysis that holds up to sponsor and lender scrutiny.
- Builds repeatable diligence and models that scale.
